Welcome to Herufy! These Terms of Use (“Terms”) govern your access to and use of the Herufy platform (“Service”). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.
1. Acceptance of Terms
By accessing or using Herufy, you agree to comply with and be bound by these Terms, our Privacy Policy, and any additional terms and conditions that may apply to specific sections of the Service or to products and services available through the Service.
2. Eligibility
You must be at least 18 years old to use Herufy. By using the Service, you represent and warrant that you have the legal capacity to enter into a binding agreement.
3. Account Registration
To access certain features of the Service, you may be required to create an account. You agree to:

- Maintain and promptly update your account information to keep it accurate, current, and complete.
- Maintain the security of your account by protecting your password and restricting access to your account.

- Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.
5. Intellectual Property Rights
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Herufy, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
6. User Content
You retain ownership of any data, information, or material that you upload, submit, or otherwise make available through the Service (“User Content”). By providing User Content, you grant Herufy a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with providing the Service.
7. Fees and Payment
Certain features of the Service may be subject to fees. You agree to pay all applicable fees in connection with your use of the Service. All fees are non-refundable unless otherwise stated.
8. Termination
We may terminate or suspend your access to all or part of the Service, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
9. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis. Herufy disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Herufy does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
10. Limitation of Liability
In no event will Herufy, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Service, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.
11. Indemnification
You agree to defend, indemnify, and hold harmless Herufy, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service’s content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.
12. Governing Law and Jurisdiction
All matters relating to the Service and these Terms and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of the State of Massachusetts without giving effect to any choice or conflict of law provision or rule (whether of the State of Massachusetts or any other jurisdiction).
Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Massachusetts, in each case located in the City of Worcester and County of Worcester. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
13. Changes to These Terms
We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Service thereafter. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.
